Plant Parents Website User Agreement — Terms of Use and Disclaimer

This Agreement sets forth the terms and conditions that apply to use of the website www.plantparents.in by a visitor and/or customer. “Customer” means each person who places an order or establishes an account for access to and use of the services of the Plant Parents website (“Site”). As a visitor or customer, you shall be referred to as “user” or “users”.

1. General

By visiting the website www.plantparents.in and/or using the services provided through the website, you grant your implicit consent to acceptance of these terms and conditions.

2. Restrictions on Use

This website is owned and operated by Panchtatva Earth Agro Private Limited trading as Plant Parents (“the Company”) and contains material which is derived in whole or in part from material supplied by the Company and other sources, and is protected by copyright and trademark laws.

Except where specifically authorised, users shall not modify, copy, reproduce, republish, upload, post, transmit or distribute in any way any material, information or content from the Site including any code, algorithm, software or otherwise.

By using the Site (other than to read this Agreement for the first time), the user agrees to comply with all of the terms and conditions hereof. The right to use the Site is personal to the user and is not transferable to any other person or entity. The user is responsible for all use of their account (under any screen name or password) and for ensuring that all use of their account complies fully with the provisions of this Agreement. Users shall be responsible for protecting the confidentiality of their passwords and any information which is confidential in nature.

The Company shall have the right at any time to change, discontinue, alter, amend, modify, remove or terminate any aspect or feature of the Site, including but not limited to material, information, content, hours of availability, at any time with or without cause, without notice or prior approval, at its sole and exclusive discretion.

3. Changed Terms

The Company shall have the right at any time to change or modify the terms and conditions applicable to users of the Site, or any part thereof, or to impose new conditions, including but not limited to adding fees and charges for use or access. Such changes shall be effective immediately upon notice, which may be given by posting on the Site or by any other means. Users can access the latest version of terms and conditions at any given time and shall regularly review the same. In the event the modified terms and conditions are not acceptable to the user, the user shall cease accessing or using the Site. Continued use of the Site shall be deemed acceptance of the modified terms and conditions.

4. Equipment

Users shall be responsible for obtaining and maintaining all telephone, computer software, computer hardware, router and other equipment including internet connection needed for access to and use of the Site, and for all charges, expenses and costs related thereto.

5. User’s Conduct

Users shall use the Site for lawful purposes only. Users agree that they shall not post, upload, display, modify, publish, transmit, update or share through the Site any information, content or material:

1. Which violates or infringes any patent, trademark, trade secret, copyright or any other proprietary material and information, or violates the privacy of any person, entity or third party
2. Which is unlawful or the intent of which is to defraud, abuse, harass, intimidate, accuse, impersonate or harm the feelings of anyone or otherwise act detrimental to the interest of the Company or any person, entity or third party
3. Which is illegal, obscene, profane, pornographic, vulgar, defamatory, indecent, libelous, hateful, racial, ethnically objectionable, threatening, abusive, blasphemous, false, misleading or otherwise harmful or unlawful in any manner whatsoever
4. Which encourages conduct that would constitute a criminal offence, give rise to civil liability or otherwise violate any law for the time being in force
5. Which contains advertising or solicitation with respect to products or services without the Company’s express prior approval
6. Which contains software viruses or any other computer codes or programs that would interrupt, destroy or limit the functionality of the Site, any software, network, server, hardware or any related equipment or computer resource
7. Which threatens the unity, integrity, defence, security or sovereignty of India or friendly relations with foreign states

Any conduct by a user that in the Company’s discretion restricts or inhibits any other user from using or enjoying the Site will not be permitted.

The Site contains copyrighted material, trademarks and other proprietary information. The Company, its subsidiaries and affiliates own or have acquired copyright in the content, selection, coordination, arrangement and enhancement of such material. Users may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part. Users may download material for personal use only as permitted under applicable law.

6. Products and Orders

Products: We offer 100% organic and natural plant care products including but not limited to organic manure, premium planters and related accessories. All products are described on the Site to the best of our ability. Actual product appearance may vary slightly from images displayed.

Pricing: All prices are inclusive of applicable taxes unless stated otherwise. The Company reserves the right to change prices at any time without prior notice.

Orders: By placing an order you confirm that you are at least 18 years of age and that the information provided is true, accurate and complete.

Order Confirmation: An order confirmation will be sent to you upon successful placement of your order through your registered contact details.

Cancellations: Orders may be cancelled prior to dispatch by contacting us at connect@plantparents.in. Once an order has been dispatched it cannot be cancelled.

Delivery: We deliver across India. Standard delivery timelines are 3–7 business days depending on the delivery location. Timelines are estimates and may vary due to circumstances beyond our control including logistics partner delays or weather conditions. Risk of loss and title for products passes to the customer upon delivery.

7. Returns and Refunds

If you receive a damaged, defective or incorrect product, you must contact us within 48 hours of delivery with supporting photographs at connect@plantparents.in. Upon verification, we will arrange a replacement or refund at our discretion. Approved refunds will be processed within 7–10 business days to the original payment method. The Company does not accept returns for change of mind, particularly for opened organic or perishable products.

8. Right of Admission

The Company reserves the right of admission towards access of the Site by any user, which may be denied by the Company at its sole and exclusive discretion without any notice or intimation to the user.

9. Disclaimer and Limitation of Liability

User expressly agrees that use of the Site is at user’s sole risk and consequence. Neither the Company, its subsidiaries, its affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that the Site will be uninterrupted or error free; nor do they make any warranty as to the results that may be obtained from use of the Site or as to the accuracy or reliability of any content, material or information provided through the Site.

The Site is provided on an “As Is” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose, other than those warranties which are implied by and incapable of exclusion under applicable law.

In no event will the Company, its subsidiaries, its affiliates or any of their respective employees, agents, third party content providers or licensors be liable for any damages including without limitation direct, indirect, incidental, special, consequential or punitive damages arising out of the use of or inability to use the Site.

Where the liability of the Company cannot be excluded under applicable law, the maximum amount payable by the Company towards one time full and final settlement shall be Rs. 100/- (Rupees One Hundred Only), all-inclusive, for any and all claims under this agreement.

10. Indemnification

User agrees to defend, indemnify, keep indemnified and hold harmless the Company, its subsidiaries, its affiliates and their respective directors, officers, employees and agents from and against all claims, expenses, losses, liabilities, compensation, damages, legal proceedings, costs, charges including attorney’s fees and including third party claims, arising out of the use of the Site by the user or any breach of this Agreement by the user.

11. Termination

Either the Company or the user may terminate this Agreement at any time. Without limiting the foregoing, the Company shall have the right to immediately terminate a user’s account or access in the event of any conduct by the user which the Company, in its sole discretion, considers to be unacceptable or in the event of any breach by the user of this Agreement.

12. Notice and Grievance

In the event a user would like to report any issue to the Company, the user will inform the Company in writing and the Company will endeavour to resolve the issue within 30 days. User agrees that the maximum claim for any breach of terms and conditions by the Company shall be Rs. 100/- (Rupees One Hundred Only), all-inclusive, one time full and final settlement for any and all claims under this Agreement.

13. Trademarks and Intellectual Property Rights

Plant Parents and all related trademarks, trade names, logos and intellectual property shown or used on the Site are the property of Panchtatva Earth Agro Private Limited or their respective owners or licensors. Users agree that they shall not use such trademarks, trade names or deceptively similar marks or derivatives created therefrom to pass off products or services as those of the Company, its subsidiaries or affiliates.

14. Third Party Content

The Company is not responsible for any opinions, advice, statements, services, offers or other information or content expressed or made available by third parties through the Site or linked websites. Neither the Company nor its affiliates guarantee the accuracy, reliability, completeness or usefulness of any third-party material or content. Under no circumstances will the Company be liable for any claims, losses or damages caused by a user’s reliance on information obtained through third-party content on the Site.

15. Miscellaneous

This Agreement and any operating rules for the Site established by the Company constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all previous written or oral agreements. No waiver by the Company of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

16. Headings

The section headings used herein are for convenience only and shall not restrict the interpretation of the clause written therein.

17. Jurisdiction

This Agreement is governed and construed in accordance with the laws of the Union of India. The user hereby irrevocably consents to the exclusive jurisdiction and venue of courts in Thane, Maharashtra, India, in all disputes arising out of or relating to the use of the Site or under this Agreement. Use of the Site is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions. You agree to indemnify and hold harmless Panchtatva Earth Agro Private Limited, its subsidiaries, affiliates, officers, directors, employees, agents and representatives from and against any claims, losses, expenses, liabilities, damages, costs, charges and attorney’s fees asserted by any third party due to or arising out of your use of or conduct on the Site.
